Recently, we have observed some confusion regarding the identity of the Aclan Group of Companies and its relationship to Aclan Crown Capital Holdings Corporation and our other entities. This letter is intended to provide a clear explanation and ensure that all our partners and clients have the proper understanding.

The Aclan Group of Companies is not, in itself, a registered or operating entity. Rather, it is a consolidated description used to collectively refer to the various corporations and brands that operate under the umbrella of Aclan Crown Capital Holdings Corporation in the Philippines. Aclan Crown Capital Holdings Corporation, in turn, is owned by Aclan Crown Investment Holdings Corporation based in Labuan, Malaysia. This layered structure reflects our international outlook and our vision of building sustainable businesses that span healthcare, finance, real estate, technology, and other key industries.

It is important to stress that the term “Aclan Group of Companies” is simply a convenient way of describing the collection of entities we own or manage. It does not represent a legal, theoretical, or operating company on its own. The actual, functioning corporate entity is Aclan Crown Capital Holdings Corporation, which serves as our duly registered holding company in the Philippines.

As a holding company, Aclan Crown Capital legally functions by holding part ownership and equity interests in several sub-holdings and operating companies. These sub-holdings, such as ABA Holdings Corporation and ISS Fil-Am Holdings Corporation, in turn oversee independent operating companies that provide products and services to the market. Each operating firm under our umbrella has its own management team, employees, organizational structure, and operational mandate.

As part of our ongoing proper structuring plan, we have taken deliberate steps to ensure that the Holdings Company is separated from the operating firms. This ensures clear lines of accountability, governance, and independence. The holdings corporation does not directly operate the businesses of the subsidiaries; instead, it serves as the ownership and strategic oversight vehicle. Each company operates independently, guided by its own organizational charter, leadership, and business objectives.

In recent months, we have also launched new brands and corporations within our structure, aligning them under the appropriate sub-holding or operating firm. This demarcation is intentional: it allows us to clearly distinguish between the role of the Holdings Company as a parent and the roles of our various operating subsidiaries as providers of services and products.

Our new structure is designed to achieve two important goals: first, to enable our businesses to operate more efficiently and effectively within their own markets, and second, to ensure that the identity and function of each entity are properly defined and communicated. By drawing these lines clearly, we not only strengthen our governance but also improve the trust and transparency we owe to our shareholders.
